Senior Attorney

ALE USA Inc. (the Company) is seeking an experienced Senior Attorney - legal generalist- to manage a broad range of responsibilities.

Based in the Los Angeles area (Thousand oaks) with possible partial remote working, this position will report directly to the Chief Legal Officer of ALE Group based in France.

Responsabilities:

  • Commercial Contracting & Transactions:
    Draft, review, negotiate, and manage a broad range of complex commercial agreements, including product supply agreements (hardware and software), SaaS and cloud computing agreements, master services agreements, technology licensing arrangements, distribution and broker agreements, NDAs, and strategic partnership contracts. Ensure all agreements align with the Company’s policies, risk tolerance, and applicable legal and regulatory requirements.
  • Strategic Legal Advisory:
    Provide practical, business-focused legal advice to senior leadership and cross-functional teams, including Sales & Marketing, Operations, Finance, HR, and Business Divisions. Advise on legal risks, transaction structuring, negotiation strategy, regulatory implications, and internal policy compliance while balancing commercial objectives with risk mitigation.
  • Product & Innovation Support:
    Partner with product, engineering, and commercial teams to support the development and launch of new products, services, platforms, and features. Identify legal and regulatory risks early in the development lifecycle and implement proactive, scalable mitigation strategies.
  • Regulatory Compliance & Risk Management:
    Ensure compliance with applicable U.S. federal and state laws and regulations affecting the Company’s operations, including those related to healthcare, education, data privacy and protection, intellectual property, communications technologies, export controls, and consumer protection. Monitor legal developments and proactively advise the business on emerging risks and regulatory changes.
  • External Representation:
    Represent the Company in negotiations, disputes, and other legal discussions with customers, partners, vendors, regulators, and other third parties. Support regulatory inquiries, audits, and investigations as needed.
  • Corporate Governance & Policy Development:
    Participate in the development, implementation, and continuous improvement of corporate policies, procedures, and compliance initiatives. Promote governance best practices across U.S. operations in alignment with global corporate standards.
  • Board & Corporate Secretary Functions:
    Serve as Corporate Secretary / Board Secretary for U.S. entities, including preparation of board materials, meeting minutes, resolutions, and maintenance of corporate records to ensure compliance with corporate governance requirements.
  • Legal Operations & Knowledge Management:
    Develop, implement, and maintain a centralized repository of legal templates, playbooks, policies, and reference materials to drive consistency, efficiency, and institutional knowledge retention.
  • Legal Research & Thought Leadership:
    Stay informed of developments in industry regulations, intellectual property law, privacy frameworks, and other relevant legal areas. Continuously assess legal exposure and recommend strategic adjustments to policies and practices.
  • Litigation & Outside Counsel Management:
    Select, engage, and oversee external counsel as necessary, including managing budgets and ensuring cost-effective legal services. Supervise pre-litigation and litigation matters, support internal investigations, and coordinate defense strategies in alignment with Company objectives.

Minimum Qualification/Requirements

  • Juris Doctorate degree and membership in Californian State Bar;
  • 8+ years of legal experience, including at a law firm, and/or in-house experience with technology companies
  • Excellent commercial negotiating and drafting skills
  • Sound and practical business judgement, intellectual creativity and problem-solving skills
  • Excellent communication skills including for clearly conveying legal concepts in a way that non-lawyers can understand.
  • Ability to work within a team environment while also being able to be independent and require little supervision.
  • Outstanding ability to organize and manage multiple priorities while delivering high quality outcomes under tight deadlines.

Preferred Qualification/Requirements

  • Experience in communications, networking, SaaS, or cloud-based technology industries.
  • Experience in multinational or matrixed organizations.
  • Strong expertise in digital business models, intellectual property, and data governance frameworks.
  • Experience building or enhancing compliance programs.

Compensation & Benefits

In compliance with California pay transparency laws, the anticipated base salary range for this position is:

$160,000 – $170,000 per year

Actual compensation will be determined based on experience, qualifications, skills, internal equity, and geographic considerations.
